Public offer

This Public Offer Agreement (hereinafter – the “Offer”) is a public offer by the website most.ks.ua (hereinafter – the “Website”), represented by Editor-in-Chief Serhii Nikitenko, to conclude an agreement that defines the procedure for access to the website most.ks.ua under the terms set forth below.

The Offer is an adhesion contract for any person (user) using the Website. The Website offers to conclude the Offer with any person. The Offer is provided in a standard and unchanged form for everyone as a public contract in accordance with Art. 633 of the Civil Code of Ukraine.

By accepting the terms set forth below, an individual (User) who accepts this Offer makes payment for the services of delivering information through the website most.ks.ua, in accordance with this Offer. A legal entity accepts this Offer and makes payment for services based on the issued invoice. The categories of paid information are determined by the editorial team at its sole discretion. Payment by the User constitutes acceptance of this Offer.

1. Terms and Definitions Used in the Offer

Public Offer (and/or Offer) – a valid proposal posted on the website regarding a subscription to most.ks.ua, aimed at an indefinite number of individuals.

Website – https://most.ks.ua

Offer – this public agreement on granting access to the Website’s materials.

User – an individual over 18 years of age who accesses and uses the Website via the Internet.

Subscription – full access to all materials posted on the Website. A subscription is granted for a fee and for a specific period according to the Subscription tariff terms posted on the page https://most.ks.ua.

Auto-Renewal of Subscription – a service for automatic renewal of the Subscription via the selected Payment System.

Day – a period of twenty-four hours.

Month – a period of thirty days.

Year – a period of three hundred sixty days.

Payment System – a financial intermediary under the Law of Ukraine “On Payment Systems and Funds Transfers in Ukraine” participating in settlements between the Website and the User.

2. Subject of the Agreement

According to the terms of the Offer, the Website grants Users full access to all materials posted on the Website.

Receipt of payment from the User constitutes acceptance of the Offer, meaning full and unconditional acceptance by the User of its terms.

Services for legal entities are provided exclusively under separate agreements with such legal entities.

By accepting this Agreement, the User fully and unconditionally agrees with the Offer and the Website’s Privacy Policy available at https://most.ks.ua/en/politika-konfidentsijnosti/.

3. Procedure and Terms for Subscription

To subscribe, the User must:

Carefully review the terms of the Offer and accept them;

Select the indicated tariff and subscription method at https://most.ks.ua/en/donate/, enter the data required for payment (if requested by the Payment System), confirm the payment, and pay.

A legal entity transfers funds to the account of the NGO “Kherson Regional Civic Journalism Agency MIST” based on an issued invoice. The fact of payment confirms the legal entity’s full agreement with the terms of the Offer.

In their personal account on the Payment System’s website, the User has access to information about their payment history, subscription validity, password change options, and payment card replacement. This list is not exhaustive and may change.

Payment for the editorial’s services is made by the User on a 100% prepayment basis via the Payment Systems specified on the page https://most.ks.ua/en/donate/.

The Website notifies Users, and Users understand and agree, that the Payment System may charge commissions and fees in addition to the service cost, including mobile operator fees (if any). The services are provided only if such fees are paid by the User. Users can independently obtain information about such commissions and fees from the Payment System. Commissions and fees are non-refundable. A User who has used the Payment System’s services is considered notified and in agreement with its terms.

The cost of the Subscription is specified at https://most.ks.ua/en/donate/.

The editorial team reserves the right to unilaterally and without prior notice to the User change the terms of this Agreement, subscription tariff rates, etc., by posting the updated document on the Website.

Changes to the Offer take effect from the moment they are published on the Website.

Changes regarding subscription tariffs apply only to subscriptions purchased after such changes are introduced.

Cancellation of services after payment is not possible.

4. Auto-Renewal

Users who pay for the Website’s Services monthly agree to the automatic regular renewal of their Subscription for a new term (auto-renewal of the Subscription). After this service is activated, payment for a new Subscription period is made by automatic debit from the User’s account. The auto-renewal service is provided until the User cancels it in their personal account on the Payment System’s website.

The service is considered canceled starting from the next billing period, provided the User cancels it in the personal account no later than 2 business days before the end of the paid Subscription period.

The service is activated upon the first or subsequent payment of the Subscription, meaning the User agrees that after the paid Subscription period expires, the Offer is automatically renewed under the same terms for the same duration with automatic debiting of the Subscription cost from the User’s account.

If there are insufficient funds in the User’s account or payment cannot be processed, the Subscription is not renewed, and the auto-renewal service is disabled until funds are available or the User updates their account in the Payment System.

5. Liability

The User is fully responsible for the accuracy of the information and data they provide when paying for editorial services.

The User is not entitled to provide any third-party personal data, including contact information (address, phone, email) during registration.

If third-party claims arise against the editorial team in connection with the use of personal data provided by the User, the User undertakes to independently and at their own expense resolve all such claims and lawsuits or reimburse the editorial team for expenses incurred as a result.

The editorial team is not liable for breach of the Offer’s terms if such breach is caused by force majeure circumstances, including but not limited to: actions of state authorities, fire, flood, earthquake, other natural disasters, failures in energy or telecommunication networks (including connection failures, equipment malfunction, etc.), strikes, civil unrest, riots, and other circumstances beyond the editorial team’s control that may affect the fulfillment of the Offer’s terms.

The editorial team is also not responsible for failure or improper performance of obligations under the Offer and does not compensate for damages arising, including but not limited to, from: unlawful actions of Users; unlawful actions of third parties aimed at disrupting information security or normal Website operation; Website malfunctions caused by code errors, computer viruses, or other third-party code fragments, including those related to third-party actions; lack of (or inability to establish, termination of, etc.) or insufficient speed of Internet connections between the User’s server and the Website’s server; and other cases related to actions/inactions of third parties aimed at worsening the general state of Internet use and/or computer equipment.

All disputes arising from the legal relationship under the Offer shall be resolved through negotiations.
